Explanation of Responses:

1. Represents a grant of restricted stock units ("RSUs") pursuant to the Issuer's Amended and Restated 2021 Equity Incentive Plan. The RSUs will vest in four equal installments on the following dates: February 28, 2024, May 30, 2024, August 31, 2024 and November 30, 2024, subject to early termination and adjustments as provided in the applicable award agreement.
