Explanation of Responses:

1. Pursuant to the Company's Second Amended and Restated Director Compensation Plan, as amended, option vested and became exercisable in 12 consecutive, equal monthly installments commencing on May 6, 2021 until fully vested and exercisable on the 12 month anniversary of April 6, 2021, provided that the Reporting Person remained a member of the Board of Directors of the Issuer on each vesting date.
