Explanation of Responses:

1. Prior to the consummation of the Issuer's initial public offering, the reporting person purchased 40,000 shares of Class B Common Stock from Osiris Sponsor, LLC (the "Sponsor") for a total of $139.13, or approximately $0.003 per share. The shares of Class B Common Stock are convertible into the Issuer's Class A Common Stock on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, as described under the heading "Description of Securities-Founder Shares" in the Issuer's registration statement on Form S-1 (File No. 333-254997). The shares of Class B Common Stock have no expiration date.

2. The Sponsor purchased 40,000 shares of Class B Common Stock of the Issuer from the reporting person for a total of $139.13, or approximately $0.003 per share.
