1. This common stock was issued to the Reporting Person pursuant to the Issuer's non-employee director compensation policy in lieu of quarterly retainer fees. The number of shares of common stock is equal to $14,124.60 divided by $6.65, the closing price of Issuer's common stock on the Nasdaq Global Select Market on April 1, 2026.
