Explanation of Responses:

1. Constitutes restricted stock units ("RSUs") for which the Reporting Person is entitled to receive one (1) share of the Company's common stock for each RSU upon vesting. The RSUs will vest in full on the earlier of June 23, 2024 or the date of the Company's next annual meeting of stockholders, subject to the Reporting Person's continued service on the Company's board of directors on the vesting date.

2. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

3. The RSUs vested on June 23, 2023.

Remarks:

On July 7, 2023, the Issuer effected a 1-for-14 reverse stock split of its Class A common stock. The share counts herein have been adjusted to reflect the reverse stock split
