1. The shares underlying this option vest on the date of the Issuer's next regular annual stockholders meeting, subject to Mr. Wolterman's continued service through the vesting date. During the vesting term of the option, Mr. Wolterman will not receive cash compensation for his service as Chairperson of the Board of Directors.
