Explanation of Responses:

1. Represents a stock option award granted on 1/2/2025 pursuant to the Issuer's Director Compensation Policy.

2. The options will vest and become exercisable in forty-eight equal monthly installments beginning on the date that is one month following the grant date; provided that immediately prior to, and contingent upon, a change in control, the options will become fully vested and exercisable.

3. The option vests in full on the one year anniversary of the grant date.
