Explanation of Responses:

1. These options were issued to Mr. Turmelle pursuant to the Quantum Computing Inc. 2022 Equity and Incentive Plan and according to the terms of the director agreement by and between Mr. Turmelle and the Issuer. These options vest as follows: 25% (or 25,000 options) vest immediately upon grant, 25% (or 25,000 options) shall vest on June 30, 2025, and 50% (50,000 options) shall vest on December 31, 2025, subject to Mr. Turmelle's continuing services for the Issuer in the capacity in which the grant was received on each applicable vesting date.
