Explanation of Responses:

The stock options will vest over two years with 50% vesting on the one year anniversary of the date of grant and the remaining 50% vesting equally at the end of each quarter over the following year, provided that the Reporting Person is employed or providing services to the Issuer on the applicable vesting date.
