Explanation of Responses:

1. Each restricted share unit converts into one ordinary share upon settlement. The reporting person elected to have the restricted share units become settleable when the reporting person ceases to be a director.

2. The restricted share units shall vest in a single annual installment upon the earlier of (i) June 12, 2026 or (ii) the day immediately prior to the date of the Issuer's annual meeting of shareholders in 2026.
