Pursuant to the terms of the grant, the restricted stock units vest on the earlier of one year from the grant date or the 2026 Annual Meeting of Shareholders at which directors are elected provided that meeting is held at least 50 weeks subsequent to the 2025 Annual Meeting, and conditional on continued service to the Company as an independent director on the vesting date.
