1. The options become exercisable in three equal annual installments on each of the first three anniversaries following the 12/17/2024 grant date, subject to the Reporting Person's continued service at each such vesting date.

2. On January 24, 2025, the Reporting Person transferred 25,000 options to a revocable trust of which the Reporting Person is trustee.
