Explanation of Responses:

1. On June 18, 2024 (the "Grant Date"), the reporting person was granted options to purchase 125,000 shares of common stock, par value $0.01 per share, of Powerfleet, Inc. (the "Company") under the Company's 2018 Incentive Plan, as amended, in consideration of his services as a director of the Company. These options vest in equal installments on the last day of each fiscal quarter over a period of 10 fiscal quarters following the Grant Date, provided that the reporting person is serving as a director of the Company on each such date.
