Explanation of Responses:

1. One-thirty sixth of the shares underlying the option vest in equal monthly installments measured from December 29, 2023, with the first vesting occurring on January 29, 2024, subject to the Reporting Person's continued service through each such date.

2. One-twelfth of the Option vests each month on the monthly anniversary of July 15, 2025, with any amount that remains unvested on the date immediately preceding the Company's 2026 annual general meeting of stockholders vesting thereon. Vesting shall accelerate in full upon Optionholder's death or Disability or a Change of Control.
