Explanation of Responses:

1. Represents a stock option granted pursuant to the Issuer's 2019 Long-Term Incentive Plan, as amended (the "Plan"), for services as a member of the Issuer's Board of Directors. The number of shares underlying to stock option shall vest as follows: 6,250 shares of common stock shall vest as of September 30, 2024 and the remaining 18,750 shares of common stock shall vest in equal 2,084 share amounts at the end of each month over the following continuous nine months beginning on October 31, 2024 (with 2,078 shares vesting on June 30, 2025 due to rounding adjustments). In the event of a Change in Control (as defined in the Plan), any unvested shares underlying the stock option shall accelerate in accordance with the terms of the Plan.
