1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock.

2. The RSUs vest as to 1/3 of the total shares annually on each of December 11, 2026, December 11, 2027 and December 11, 2028, subject to the continuing service of the Reporting Person on each vesting date.
