Explanation of Responses:

1. These options will vest and become exercisable on the earlier of: (a) July 1, 2026 and (b) the date of Lineage Cell Therapeutics, Inc.'s (the "Issuer") next annual meeting of shareholders after the grant date, subject, in each case, to Neal C. Bradsher's (the "Reporting Person") continuous service with the Issuer.

2. These options were granted to the Reporting Person by the Issuer on July 1, 2025 as director compensation pursuant to the Issuer's 2021 Equity Incentive Plan, as amended.
