1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Class A Common Stock of the Issuer.

2. The RSUs will vest in full on the first anniversary of the date of grant, subject to the reporting person's continued service on the Board of Directors of the Issuer through the applicable vesting date. The RSUs have no expiration date.
