Explanation of Responses:

1. Each unit of phantom stock is equivalent to one share of the Company's common stock.

2. The phantom stock units were granted under the 1998 Long-Term Incentive Plan (the "Plan") and are to be settled upon the reporting person's termination of service on the Company's Board.

3. Includes 89.29 phantom stock units resulting from the dividend reinvestment feature of the Plan which were allocated to reporting person's account since last filing.

4. Each restricted share unit represents a contingent right to receive one share of the Company's common stock.

5. The restricted share units will vest one year from award date and be distributed to filer.
