1. Each Performance Restricted Stock Unit represents a contingent right to receive one share of the Company's common stock. Performance Restricted Stock Units vest based on the Company's performance for the period January 1, 2019 through December 31, 2021.

2. Unvested Performance Restricted Stock Units forfeited by the reporting person.

3. Each Performance Restricted Stock Unit represents a contingent right to receive one share of the Company's common stock. Performance Restricted Stock Units vest based on the Company's performance for the period January 1, 2020 through December 31, 2022.

4. Each Restricted Stock Unit represents a contingent right to receive one share of the Company's common stock. Restricted Stock Units vest ratably over a three-year period from the grant date.

5. Unvested Restricted Stock Units forfeited by the reporting person.
