Explanation of Responses:

1. All shares subject to the option award shall vest on the earlier of May 26, 2023 or the day prior to the date of the Issuer's 2023 Annual Meeting of Stockholders, subject to the Reporting Person's continuous service through such vesting date.

Remarks:

This Amendment to the original Form 4 filed on November 16, 2022 (the "Original Form 4") is being filed solely to correct the exercise price in Column 2 of Table II. All other information in the Original Form 4 remains the same.
