1. Each share of phantom stock is the economic equivalent of one share of Issuer Class A Common Stock.

2. Received pursuant to the Business Combination Agreement between Haymaker Acquisition Corp. III, a Delaware corporation, Haymaker Sponsor III LLC, a Delaware limited liability company, BioTE Holdings, LLC, a Nevada limited liability company ("Biote"), BioTE Management, LLC, a Nevada limited liability company, Dr. Gary Donovitz, in his individual capacity and Teresa S. Weber, in her capacity as the members' representative.

3. The phantom stock shall vest on 1/4th on each of September 30, 2022, December 31, 2022, March 31, 2023 and June 30, 2023.
