Explanation of Responses:

1. The Stock Option will vest (i) as to 55,000 shares of the Stock Option, quarterly in 16 equal installments following January 1, 2022 and (ii) as to 30,000 shares of the Stock Option, on January 1, 2023.

Remarks:

This Form 4/A amends the Form 4 filed on February 3, 2022 to correct the vesting schedule of the Stock Option granted to the Reporting Person.
