Explanation of Responses:

1. Includes 128 Ordinary Shares purchased by AC Employee Benefit Trustees Limited, as trustee for and on behalf of the Reporting Person, as sole beneficiary, pursuant to an Irish Revenue-approved broad-based employee share participation scheme. Such Ordinary Shares are subject to a minimum holding requirement of one year.

2. Reflects time-based conditional awards, as defined in the 2014 Deferred Share Bonus Plan (the "DSB Plan Rules"), of which, subject to the determination of the Compensation Committee of the Board of Directors of the Issuer, the balance will vest in March 2028. In accordance with the DSB Plan Rules, dividend equivalents will apply to the Award and, to the extent awarded, will be reported at the time of vesting.
