Explanation of Responses:

1. Each Performance Stock Award ("PSA") represents a contingent right to receive one share of the Issuer's Class A Common Stock (or its cash equivalent, at the discretion of the Issuer).

2. The PSAs were granted on February 17, 2026, and vest in four equal annual installments commencing on March 5, 2026, provided that the Reporting Person has provided continuous service to the Issuer through each vesting date.
