Explanation of Responses:

1. Each performance stock unit ("PSU") represents a contingent right to receive one share of Class A common stock of the issuer if predetermined levels of total shareholder return relative to the return of Bitcoin, as well as the Russell 3000 over the three-year performance period from January 1, 2026 through December 31, 2028. The number of PSUs represents a target number and the reporting person may earn between 0% and 200% of the target number of PSUs.
