Explanation of Responses:

1. This stock option was granted pursuant to a stock option agreement dated January 7, 2025, by and between the reporting person and Intelligent Protection Management Corp. f/k/a Paltalk, Inc. (the "Issuer"). Fifty percent (50%) of the shares underlying this stock option vested and became exercisable on the date of grant. The remaining fifty percent (50%) of the shares underlying this stock option will vest and become exercisable on July 2, 2025, as long as the reporting person is providing services to the Issuer on such date; provided, that upon the effective date of a "change in control" (as defined in the Intelligent Protection Management Corp. 2016 Long-Term Incentive Plan), 100% of the then-unvested shares shall immediately vest and become fully exercisable, if not previously so exercisable, on the date of the change in control.
