Explanation of Responses:

1. On September 23, 2024, Newmark Group, Inc. (the "Company") repurchased 795,376 previously awarded limited partnership interests ("Interests") of Newmark Holdings, L.P. held by the reporting person and which the reporting person had previously received exchange rights for. The sale price per Interest of $14.19 was $15.34, the closing price of a share of the Company's Class A common stock, par value $0.01 per share on September 23, 2024, multiplied by the then-current exchange ratio of 0.9248. The transaction was approved by the Compensation Committee of the Board of Directors of the Company, and was exempt pursuant to Rule 16b-3 of the Securities Exchange Act of 1936, as amended.
