Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. On November 4, 2024, the reporting person was granted 180,000 RSU's that vest in one installment on May 4, 2025. This grant was contingent on stockholder approval of the amendment and restatement of Issuer's 2014 Incentive Award Plan. The Issuer's stockholders approved the amendment and restatement of the plan on December 30, 2024.

3. On November 4, 2024, the reporting person was granted 180,000 RSU's that vest in three equal annual installments beginning on November 4, 2025. This grant was contingent on stockholder approval of the amendment and restatement of Issuer's 2014 Incentive Award Plan. The Issuer's stockholders approved the amendment and restatement of the plan on December 30, 2024.
