Explanation of Responses:

2. Each restricted stock unit represents a contingent right to receive one share of issuer common stock.

3. The restricted stock units will vest and payout in unrestricted shares of Company common stock on the third anniversary of the grant date, February 24, 2029, subject to continued employment.
