Explanation of Responses:

1. The Class B ordinary shares will automatically convert into shares of the Issuer's Class A ordinary shares at the completion of the Issuer's initial business combination on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, as described under the heading "Description of Securities--Founder Shares" in the Issuer's registration statement on form S-1 (File No. 333-251856) (the "Registration Statement") and have no expiration date.

2. On May 6, 2021, in connection with Adam M. Aron's appointment as an independent director of the Issuer, the Reporting Person transferred 20,000 Class B ordinary shares of the Issuer to Mr. Aron.
