2. Represents shares withheld to pay statutory withholding taxes in connection with vesting of restricted stock units held by the reporting person.

3. Restricted stock units vested on June 1, 2023. The remainder of the restricted stock units vest 8.33% of the original grant amount on a quarterly basis.
