Explanation of Responses:

1. The Form 4 originally filed on July 6, 2022 inadvertently misstated the number of stock appreciation rights ("SAR") acquired. The Form 4 as originally filed reported this number as 121,298, while the correct number is 181,947.

2. The SAR is payable in cash only, and vests on March 15, 2025, subject to the Reporting Person being in the continuous employ of the Issuer on the vesting date.
