Explanation of Responses:

The shares represent restricted stock units, which will vest quarterly over three years with 8.33% vesting on June 15, 2026 and on each Quarterly Vest Date thereafter, subject to the Reporting Person's continuous service through each such vesting date. Quarterly Vest Dates are each of March 15, June 15, September 15, and December 15.

2. Includes shares to be issued in connection with the vesting of one or more restricted stock units.
