Explanation of Responses:

1. In connection with Ms. Bathina's appointment to the Issuer's board of directors, the Issuer's sponsor, TCV Acquisition Holdings, L.P., transferred the Class B Ordinary Shares to Ms. Bathina. The Class B Ordinary Shares will automatically convert into the Issuer's Class A Ordinary Shares at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment, as described under the heading "Description of Securities" in the Issuer's registration statement on form S-1 (File No. 333-254505) and have no expiration date.
