One hundred percent (100%) of the shares subject to the option shall vest upon the earlier of June 30, 2024 or one (1) day prior to the Issuer's next annual meeting occurring after the grant date, in each case, provided the Reporting Person continues to serve as a member of the Issuer's board of directors through the applicable vesting date.
