1. Transaction exempt from Section 16(b) of the Securities Exchange Act of 1934 (the "Act") pursuant to Rule 16b-6(b) promulgated under the Act.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $4.41 to $4.45 inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote to this Form 4.

3. Each restricted stock unit is convertible into one share of Class A Common Stock.

4. One-third (1/3rd) of the restricted stock units vest on each of April 30, 2024, April 17, 2025 and April 17, 2026, subject to the Reporting Person's continued service with the Issuer as of each vesting date.
