Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive 1 share of the Issuer's Class A Common Stock upon settlement for no consideration.

2. 25% of the total shares vest on October 1, 2022, and thereafter vests as to 75% of the total shares underlying the award in quarterly installments until fully vested, subject to the Reporting Person's continued service to the Issuer on each vesting date.
