Represents an award of restricted stock units (the "RSUs"), which will vest in three annual installments as follows: one-third of the RSUs will vest on each of the first three anniversaries of the Grant Date, subject to the Reporting Person's continued service through the applicable vesting date. The RSUs may be settled in shares of the Issuer's common stock or, in the Issuer's discretion, in cash.
