Explanation of Responses:

1. On June 27, 2023 (the "Effective Date"), G-III Apparel Group Ltd. (the "Company") entered into a stock sale and purchase agreement with the Reporting Person. The Company purchased 208,943 shares from the Reporting Person at a price of $19.75 per share, which was the closing price of the Company's common stock on Nasdaq Stock Market on the Effective Date.
