Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock.

2. The RSUs vest as to 1/12 of the the total number of RSUs on each quarterly anniversary of the grant date, subject to the reporting person's continued service through the applicable vesting date. The RSUs have no expiration date.

3. The RSUs vest as to 25% of the the total number of RSUs on each quarterly anniversary of the grant date, subject to the reporting person's continued service through the applicable vesting date. The RSUs have no expiration date.
