1. This transaction represents shares previously pledged and disclosed as security to an unrelated third party. Full right and title to these pledged shares was relinquished upon the request of such third party in full satisfaction of the pledge obligation to the third party.

2. Each Performance Stock Unit converts to one share of Common Stock, subject to achievement of performance objectives.

3. Performance Stock Units issued on 1/4/2021, subject to achievement of performance objectives. Performance Stock Units solely become exercisable upon achievement of performance objectives.

4. Performance Stock Units expire if performance objectives are not achieved on or prior to 1/4/2026.
