Explanation of Responses:

1. The Reporting Person was granted Restricted Stock Units ("RSUs") which represent a contingent right to receive one (1) share of Common Stock for each RSU. The shares were issued pursuant to vested RSUs released on August 10, 2022.

2. The Reporting Person was granted RSUs, which represent a contingent right to receive one share of the issuer's common stock. The RSUs were granted in connection with the Reporting Person's service as a member of the Board of Directors. Subject to the Reporting Person's continuous service, the RSUs will vest in full on the earlier of the one-year anniversary of the date of grant or on the date of the regular meeting of the Issuer's stockholders following the date of grant.

SEC Form 4: Dee Michael E converted options into 14,463 shares, increasing direct ownership by 7% to 219,777 units
