Explanation of Responses:

1. On March 1, 2022, 250 of Ms. Dawson's restricted stock units ("RSUs"), granted on March 1, 2019, vested. On March 2, 2022, 109 of the 250 shares underlying these newly-vested RSUs were surrendered to satisfy the tax withholding obligation triggered upon the March 1st vesting. The surrender of shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of RSUs.
