The shares were issued to the Reporting Person pursuant to a future equity agreement between the Issuer and the Reporting Person, pursuant to which the Issuer agreed to issue shares of common stock upon closing of its initial public offering to the Reporting Person based on the amount of loans provided by the Reporting Person.
