Explanation of Responses:

1. The 28.403 shares were acquired under a qualified dividend reinvestment plan from January 9, 2020 to filing of this Form 4.

2. The shares of the Issuer were disposed of in exchange for shares of PIMCO Dynamic Income Fund ("PDI") in connection with the reorganization of the Issuer with and into PDI based on PDI's and the Issuer's respective net asset value per share at the time of the closing of such reorganization, which resulted in an exchange ratio of 0.949037.
