Explanation of Responses:

1. Represents a grant of restricted stock units pursuant to the Issuer's 2021 Omnibus Incentive Plan. Each restricted stock unit represents the right to receive, upon vesting, one share of Common Stock. These restricted stock units will vest on July 16, 2022, subject to the reporting person's continuous service through such date.

2. These securities are held by Holley Parent Holdings, LLC. James D. Coady may be deemed to beneficially own shares held directly by Holley Parent Holdings, LLC by virtue of his relationship with Holley Parent Holdings, LLC. Mr Coady disclaims beneficial ownership of the shares held by Holley Parent Holdings, LLC other than to the extent of his pecuniary interest therein.
