Explanation of Responses:

1. Represents Restricted Stock Units ("RSUs") 45,431 of which vest semi-annually over four years and 19,084 of which vest annually over two years from February 1, 2023, in each case, subject to the Reporting Person's continuous service to the Issuer on each such date. Each RSU represents a contingent right to receive one share of common stock of the Issuer.

2. Includes 3,387 shares of common stock purchased under the Issuer's Employee Stock Purchase Plan in transactions exempt from Section 16(b) pursuant to Rule 16b-3(c) and 64,515 RSUs which are subject to vesting.
