Represent warrants transferred for no monetary consideration as inducement in connection with the closing of the Business Combination on September 21, 2022 (as defined in the Agreement and Plan of Merger, dated as of November 10, 2021, as further amended, by and among Ventoux CCM Acquisition Corp., a Delaware corporation ("VTAQ"), Ventoux Merger Sub I Inc., a Delaware corporation and a direct, wholly-owned subsidiary of VTAQ, Ventoux Merger Sub II, LLC, a Delaware limited liability company and a direct, wholly-owned subsidiary of VTAQ, and E La Carte, Inc., a Delaware corporation (d/b/a Presto, Inc.)).

2. Represent warrants cancelled for no monetary consideration as inducement in connection with the closing of the Business Combination on September 21, 2022.
