Explanation of Responses:

1. This transaction represents the withholding by the Issuer of shares to pay taxes in connection with the accelerated vesting of restricted stock units ("RSUs"). The timing and amount of the transaction were determined at the discretion of the Compensation Committee in connection with a change of control of a business segment and was not within the control of the reporting person.

2. On January 9, 2020, the reporting person was granted 15,184 performance-based restricted stock units ("PRSUs") which vest following a three-year performance period based on the satisfaction of certain performance criteria. This transaction reflects an acceleration of vesting of thirty percent of the PRSUs approved by the Compensation Committee in conjunction with a change of control of a business segment.
